Sheila Shuster has more than twenty years of combined public company, private company and law firm experience. She began her career as an M&A, general corporate and securities attorney at a prominent New York law firm that is well-known for its representation of Wall Street hedge funds. As a junior and mid-level associate, she worked on both large and small M&A and securities matters and other business transactions including a hostile tender offer, Reg D private placements, small acquisitions, routine securities filings and cross-licensing deals for a U.K. biotech company.  Her experience includes providing M&A transaction support, and drafting and negotiating complex outsourcing, technology license, global purchasing, service provider, and other transactions.

Sheila’s background includes leading the team of business and compliance lawyers who supported the $5 billion annual revenue North American division of ADP, a Fortune 500 publicly traded provider of HR, benefits administration, payroll, background screening and other employer services. In that role she also served as lead business attorney for acquisitions within the business units she supported, and as assistant secretary and sole attorney to the ADP board of directors’ nominating/corporate governance committee. 

 

Sheila has also served as Interim Assistant General Counsel of Carnegie Science, a premier science non-profit organization, where her experience as a commercial transactional attorney enabled her to negotiate and draft agreements that minimize the organization’s financial risk while helping scientists acquire the highly customized and expensive instruments required to further their discoveries.  In addition, Sheila has served as associate general counsel of Allvue Systems, a leading provider of SaaS solutions for PE funds and PE fund administrators, where she negotiated transactions to support global sales, marketing alliance and professional services teams in the U.S. and the U.K.
